By accessing the Website, submitting an enquiry, or engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms.

These Terms should be read together with our Privacy Policy and, where applicable, our Refund & Cancellation Policy, both of which are incorporated herein by reference.


1. About Us

Boffin Financial Solutions Private Limited is a private limited company incorporated under the Companies Act, 2013, with its registered office at 101, 1st Floor, 117/TN/280, Tulsi Nagar, Kakadeo, Kanpur, Uttar Pradesh, India – 208025. We provide offshore bookkeeping, accounting support, financial advisory, and related back-office services to clients globally — including accounting and CPA firms based in the United States — as well as Indian financial and legal compliance services and advisory services for Non-Resident Indians (NRIs).

2. Our Services

Our services are organised broadly into the following categories:

  • - US Accounting & Bookkeeping Support: Monthly bookkeeping, accounts payable and receivable management, bank and credit card reconciliation, QuickBooks/Xero setup and clean-up, payroll processing support, preparation of financial statements, tax planning support, and coordination with the Client's CPA.
  • - Indian Financial & Legal Services: Income tax return filing and advisory, GST registration and compliance, company incorporation and ROC compliance, trust/NGO/society formation, and related statutory services.
  • - NRI Advisory Services: Investment advisory, FEMA and RBI compliance support, property sale tax planning, funds repatriation advisory, and Form 15CA/15CB filing support.

The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate proposal, service agreement, or engagement letter ("Engagement Letter") agreed between you and Boffin. In the event of any conflict between these Terms and an Engagement Letter for a specific engagement, the Engagement Letter shall prevail for that engagement.

3. Engagement Letters & Statements of Work

No services will commence until the scope of work, fees, and timelines have been mutually agreed in writing (including via email). These Terms apply as the general framework governing the relationship; the Engagement Letter governs the specifics of "what, when, and for how much."

4. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

  • - Provide accurate, complete, and timely financial data, documents, and access credentials (e.g., accounting software logins, bank feeds, source documents) required for us to perform the agreed services.
  • - Ensure that all information and documents provided to us comply with the laws of your jurisdiction and do not infringe the rights of any third party.
  • - Designate an authorised point of contact for day-to-day communication, queries, and approvals.
  • - Review deliverables (reconciliations, reports, financial statements, etc.) provided by us within a reasonable time and promptly raise any discrepancies or concerns.
  • - Maintain valid licences/subscriptions for any third-party accounting software or platforms used in the engagement, unless otherwise agreed in the Engagement Letter.
  • - Remain responsible for your own statutory tax, accounting, and regulatory filing obligations in your jurisdiction. Our services are designed to support — not replace — these obligations.

We will not use your personal data for purposes other than those listed above without informing you and, where required by law, obtaining your consent.

5. Fees, Invoicing & Payment Terms

  • - Fees for each engagement (fixed monthly retainer, hourly, or project-based) will be specified in the applicable Engagement Letter.
  • - Invoices will be issued on a [monthly] basis and are payable within [15/30] days of the invoice date, unless otherwise agreed.
  • - Payments may be made via our Pay Online page (governed additionally by our Refund & Cancellation Policy) or via bank transfer/wire as agreed in the Engagement Letter.
  • - Fees for international clients are quoted in USD (or another agreed currency) and for Indian clients in INR, unless otherwise specified. Any currency conversion charges or international transfer fees are borne by the Client.
  • - If an invoice remains unpaid beyond [15] days of its due date, we reserve the right to suspend services until payment is received, and may charge interest on overdue amounts at [1.5]% per month, where permitted by applicable law.
  • - Fees quoted are exclusive of applicable taxes (e.g., GST on services rendered from India). Where any withholding tax applies in the Client's jurisdiction on payments made to us, invoices shall be grossed up so that we receive the full agreed fee net of such withholding, unless otherwise agreed in writing.

6. Confidentiality & Data Protection

We recognise the sensitivity of the financial and business information you share with us. We treat all Client information as confidential and use it solely to provide the agreed services. Our collection, processing, and protection of personal data is described in detail in our Privacy Policy.

7. Intellectual Property

  • - Our pre-existing intellectual property — including templates, checklists, methodologies, training materials, and proprietary tools — remains our property and is not transferred to the Client by virtue of an engagement.
  • - Subject to full payment of applicable fees, deliverables specifically prepared for the Client using the Client's own data (e.g., reconciled books of account, reports, financial statements) shall belong to the Client, save for any underlying Boffin templates, tools, or methodology embedded within them, which we may continue to use and reuse for other clients.
  • - The "Boffin Financial Solutions" and "Boffin Solutions" names, associated logos, and the content of the Website are the intellectual property of Boffin Financial Solutions Private Limited and may not be reproduced or used without our prior written consent.

8. Third-Party Software & Platforms

Our services may involve the use of third-party software platforms (for example, QuickBooks, Xero, Dext, Botkeeper, or payment gateways). Unless explicitly agreed otherwise in the Engagement Letter, the Client is responsible for procuring and maintaining valid licences/subscriptions for such platforms. We are not responsible for outages, data loss, pricing changes, or policy changes made by such third-party providers, though we will make reasonable efforts to assist the Client in addressing any resulting issues.

9. Nature of Services & Professional Disclaimers

  • - The services provided by Boffin Financial Solutions Private Limited through this Website are bookkeeping, accounting support, financial data processing, and advisory/consultancy services. These services do not constitute statutory audit, attestation, assurance, or certification services as defined under the Chartered Accountants Act, 1949, and the applicable regulations of the Institute of Chartered Accountants of India (ICAI).
  • - Any audit, attestation, certification, or other service that, under Indian law, requires the signature or seal of a practising Chartered Accountant is not provided by Boffin Financial Solutions Private Limited. Where such services are required, they are undertaken separately and independently by a duly licensed Chartered Accountant or CA firm, under a distinct engagement governed by applicable professional standards and the ICAI Code of Conduct.
  • - The reports, reconciliations, and other outputs we provide are intended to support — not replace — the advice of the Client's own CPA, tax advisor, attorney, or other appropriately licensed professional in their jurisdiction. We do not provide legal, investment, or tax advice under the laws of the United States or any jurisdiction outside India, and Clients should consult appropriately licensed professionals in their own jurisdiction for such advice.
  • - The Client remains solely responsible for the accuracy, completeness, review, approval, and timely filing of any financial statements, tax returns, or regulatory submissions with the relevant authorities, whether or not prepared with our assistance.

10. Limitation of Liability

  • - To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to the services — whether in contract, tort, or otherwise — shall not exceed the total fees paid by the Client to us for the specific services giving rise to the claim during the [three (3) / six (6)] months immediately preceding the event giving rise to the claim.
  • - In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages.
  • - Nothing in these Terms shall exclude or limit any liability that cannot be excluded or limited under applicable law, including liability arising from fraud or wilful misconduct.

11. Indemnification

You agree to indemnify and hold harmless Boffin Financial Solutions Private Limited, its directors, employees, and associates from and against any claims, losses, liabilities, or expenses (including reasonable legal fees) arising from: (a) inaccurate, incomplete, or fraudulent information or documents provided by you; (b) your breach of these Terms or applicable law; or (c) your use of any deliverables in a manner that violates applicable law or third-party rights.

12. Term, Suspension & Termination

  • - These Terms remain in effect for as long as you access the Website or are engaged with us for services.
  • - A specific engagement may be terminated by either party by providing the notice period specified in the applicable Engagement Letter (commonly [30] days' written notice), or as otherwise agreed.
  • - We may suspend or terminate services with immediate effect in cases of non-payment, suspected fraud, illegal use, or material breach of these Terms.
  • - On termination, the Client shall settle all outstanding fees for services rendered up to the date of termination. We will provide reasonable assistance in transitioning records, data, and access back to the Client or a successor service provider, subject to settlement of all outstanding dues and any reasonable transition-related charges.

13. Force Majeure

Neither party shall be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, pandemics, war, governmental action, internet or power outages, or other events of force majeure.

14. Governing Law & Dispute Resolution

  • These Terms, and any dispute or claim arising out of or in connection with them or the services, shall be governed by and construed in accordance with the laws of India.
  • The parties shall first attempt to resolve any dispute amicably through good-faith negotiation.
  • If a dispute is not resolved through negotiation within [30] days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator, seated in Lucknow/Kanpur, Uttar Pradesh, India, with proceedings conducted in the English language.
  • Subject to the above, the courts at Kanpur, Uttar Pradesh, India only shall have exclusive jurisdiction over any matters not subject to arbitration

15. Communication

We communicate primarily via email (contact@boffinsolutions.com) and WhatsApp Business. Our standard business hours are Monday–Friday, 9:00 AM–6:00 PM IST (or as updated on the Website from time to time). Specific response times and service levels for an engagement, where applicable, will be set out in the Engagement Letter.

16. General Provisions

  1. Entire Agreement: These Terms, together with our Privacy Policy, Refund & Cancellation Policy, and any applicable Engagement Letter, constitute the entire agreement between the parties regarding their subject matter.
  2. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  3. Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets, with notice to affected Clients.
  4. No Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
  5. Relationship of Parties: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Boffin Financial Solutions Private Limited.
